Terms and conditions

These terms and conditions apply to all offers, agreements and services of Dif3r3nt.
1. Definitions
Dif3r3nt: the user of these terms. Client: the party that enters into an agreement with Dif3r3nt. Services: the work to be delivered by Dif3r3nt, including software development, smart automation and security and compliance work.
2. Applicability
These terms apply to all quotes, offers and agreements, unless agreed otherwise in writing. Deviations only apply if confirmed in writing.
3. Quotes and offers
All quotes are non-binding and valid for the period stated in them. Obvious mistakes or errors do not bind Dif3r3nt.
4. Formation of the agreement
An agreement is formed after written acceptance or confirmation of an assignment by both parties.
5. Performance
Dif3r3nt performs the agreement to the best of its knowledge and ability on the basis of a best-efforts obligation. Stated time frames are indicative and not strict deadlines, unless expressly agreed otherwise.
6. Prices and payment
Prices are exclusive of VAT, unless stated otherwise. Invoices must be paid within the agreed period. If payment is not made on time, the client is in default by operation of law.
7. Intellectual property
All intellectual property rights in works developed by Dif3r3nt rest with Dif3r3nt, unless agreed otherwise in writing. After full payment, rights of use are granted in accordance with the agreement.
8. Liability
The liability of Dif3r3nt is limited to the amount paid out by the liability insurance in the case in question, or otherwise to the invoice amount of the assignment concerned. Dif3r3nt is not liable for indirect or consequential damage.
9. Confidentiality
The parties treat confidential information they receive in the context of the agreement as strictly confidential.
10. Duration and termination
Agreements can be terminated in accordance with the arrangements included in them. Either party may dissolve the agreement if the other party is culpably in breach and does not remedy this within a reasonable period.
11. Applicable law
Dutch law applies to all agreements. Disputes are submitted to the competent court in the district where Dif3r3nt is established.
